These terms of service ("Terms") constitute a legally binding agreement between you and Fortium ("we", "us", "our") governing your access to and use of the Fortium platform, including the staff dashboard, client portal, and all related services.
By creating an account or using the platform, you agree to be bound by these Terms. If you are using the platform on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.
Fortium is a practice management platform for UK accountancy firms. The platform provides client management, document storage, invoicing, workflow automation, compliance tools, communications, time tracking, reporting, and a client self-service portal.
The platform integrates with third-party services including Xero, HMRC, Companies House, Microsoft 365, Gmail, and WhatsApp. Availability and functionality of third-party integrations depend on those providers and are not guaranteed by Fortium.
To use the platform, you must register an organisation account and complete the onboarding process including email verification. You are responsible for:
You may invite staff members and create portal accounts for your clients. You are responsible for managing these accounts and for the actions of users you have invited.
You agree not to:
You retain all ownership rights to the data you and your users upload, create, or store on the platform ("Your Data"). We do not claim any ownership interest in Your Data.
You grant us a limited licence to host, store, process, and transmit Your Data solely to provide and improve the platform. This includes processing for AI-powered features when enabled by your organisation.
You are responsible for the accuracy and legality of Your Data. You are also responsible for complying with all applicable data protection legislation, including the UK GDPR, in respect of the personal data you process using the platform. Where we process personal data on your behalf, we act as your data processor in accordance with our Privacy Policy.
The platform includes a client portal that you can offer to your clients. You are responsible for creating and managing portal user accounts. Portal users are bound by these Terms when accessing the platform.
Portal user data access is restricted to the individual client record. You are responsible for ensuring that portal access is granted appropriately and revoked when no longer needed.
The platform provides electronic signature functionality for proposals and documents. Electronic signatures captured through the platform are intended to satisfy the requirements of the Electronic Communications Act 2000 and the eIDAS Regulation (retained EU law) for simple electronic signatures.
You are responsible for determining whether an electronic signature is appropriate for your specific use case and jurisdiction. We do not provide legal advice on the validity or enforceability of electronic signatures.
The platform allows you to connect third-party services such as Xero, HMRC, Microsoft 365, Gmail, and WhatsApp. When you connect a third-party service:
Access to the platform requires a paid subscription. Subscriptions are billed per organisation on a monthly or annual basis. Pricing is based on client volume and feature access, not per user seat.
We reserve the right to modify pricing with 30 days' notice. Price changes take effect at the start of the next billing period. If you do not agree to a price change, you may cancel your subscription before the change takes effect.
We strive to maintain high availability of the platform but do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable notice. Unscheduled downtime may occur due to circumstances beyond our reasonable control.
Background processes (email sync, automated workflows, scheduled reports) run on defined schedules and may be temporarily delayed during maintenance or high-load periods.
The platform, including its design, features, code, and documentation, is owned by Fortium and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable licence to use the platform for its intended purpose during your subscription period.
You may not copy, modify, distribute, reverse-engineer, or create derivative works of the platform or any part of it.
To the maximum extent permitted by applicable law:
Nothing in these Terms excludes or limits our liability for death, personal injury caused by negligence, fraud, or any other liability that cannot be excluded or limited under English law.
You agree to indemnify, defend, and hold harmless Fortium from any claims, damages, losses, or expenses (including reasonable legal fees) arising from: your use of the platform, your breach of these Terms, your violation of any applicable law, or your infringement of any third party's rights.
You may cancel your subscription at any time. Upon cancellation, your access continues until the end of the current billing period.
We may suspend or terminate your access if you breach these Terms, fail to pay applicable fees, or if we reasonably believe your use poses a security risk. We will provide notice before termination where practicable.
Upon termination, you may request export of Your Data within 30 days. After this period, we may delete Your Data in accordance with our standard retention practices.
We may update these Terms from time to time. We will notify registered Organisations of material changes via email at least 30 days before the changes take effect. Continued use of the platform after the effective date constitutes acceptance of the updated Terms.
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
